JDS Uniphase is a shining example of a company that has bought its way to the top of its business. And even though its market cap has dropped roughly in half over the last three months, look for its soon-to-be-approved acquisition of SDL to renew investor interest and inspire further takeovers. In brief: - Antitrust regulators asked JDS Uniphase and SDL Corp. to provide more information on their proposed $44 billion merger, the companies announced Thursday. The 'second-round review' is rare in most cases, but not unexpected in such a large merger solely within one industry. |

Corning is already the largest supplier of fiber optic wires. But if they are to buy Nortel's fiber optic parts unit, they would be able to keep pace with the likes of JDS Uniphase, especially after the JDS purchase of SDL. (source: News.com) http://news.cnet.com/news/0-1004-200-2336686.html |

Well MaxPower, looks like KeithG has one well-known columnist on his side. Here's Cramer's take on the situation. He seems to be shocked that companies have simply stopped consulting legal counsel before announcing deals. He said that if they had talked to a lawyer, this deal never would have made it out of the boardroom. Of course, Cramer went to law school, so maybe he is trying to set himself up for something new when theStreet.com goes under .http://www.thestreet.com/comment/wrongrear/994431.html |

KeithG, I don't think the word "antitrust" will really come into play here. Think of JDS Uniphase' major competitors in the optical arena - Cisco and Nortel, very soon Lucent, and many up and comers. I think this merger is more of an example of a company trying to position itself better against the market leaders rather than a company trying to assume market dominance at the expense of the other players. There will still be PLENTY of competition in this niche. |

Now, this is what I was expecting to hear after I saw this deal announced: anti-trust. After the announcement, SDL's stock closed 63 points below the value of the deal. Now, it is pretty common to close below the deal's price, but that is a big ol' gap and it shows some serious, serious skepticism. With the DOJ on high alert in the tech industry, I can't believe this is actually going to get through--unless someone else makes a move to stay competetive. http://www.thestreet.com/tech/telecom/994233.html |
