The combined entity will probably have to sell off some assets in order to meet regulatory approval, because of this 35% limit, and because of the FCC rule that prohibits a company from owning more than one TV network (Viacom already owns half of UPN).

This is not a done deal by any means, since it still has to get regulatory approval. Under the terms of the merger, the new Viacom would operate television stations that reach about 41% of the nation's homes. Standing FCC regulations prevent broadcasters from operating television stations that reach more than 35% of the national audience, and the FCC has never granted a waiver to this limit in the past.

The main differences between common (usually class A) and preferred (usually class B) stock are:
- dividends are paid on preferred stock before common stock
- preferred stock usually doesn't carry voting rights
- preferred stock takes precedence over common stock in the event of a liquidation/bankruptcy
It is these differences that cause the prices to be different.
I checked the Viacom site ( http://www.viacom.com/qr98q4.tin ) and it appears that only the common stock, not the preferred stock, is splitting. The split won't affect the value of your shares, but if you have concerns you might want to email Viacom's investor relations department for more details.

Viacom announced today a 2 for 1 split. I own shares of Viamcom b class. Will I receive a split? Other than voting rights, what is the difference between class A & B? Why are the stock prices different?
