The CS First Boston / DLJ merger will have a significant effect on the IPO underwriting market. CSFB floated 39 IPOs this year, raising about $8.9 billion, and DLJ floated 20, raising $3.4 billion. The new company will be in a better position to rival IPO leader Goldman Sachs, which raised $23 billion through 41 IPOs. Credit Suisse First Boston announced this morning that it will acquire Donaldson Lufkin Jenrette in a deal worth $11.5 billion. Online brokerage DLJdirect said it will begin operations in Japan on June 11. The Tokyo-based business is a joint venture formed in March 1999 between DLJdirect Inc. and Japanese shareholders including companies from Sumitomo Group and Daiwa Securities Group Inc. The brokerage will offer Internet trading of stocks on the Tokyo and Osaka Stock Exchanges, over-the-counter stocks, and money market funds.

smario, to kind of answer your question from a month ago, company's hope that a spun-off company's stock performance will have a positive effect on the original company's stock. This type of move certainly worked for a company like Creative Computer, which spun off 20% of Internet auction site UBid in December. Creative Computer shares rallied immediately as new investors bought shares to get a piece of Ubid.

DLJ is probably hoping for the same sort of effect through DLJDirect. However, DLJ, though it experienced a slight increase during DLJDirec't ipo, they are down roughly 8 points since then. Currently, DLJDirect is still roughly 3.5 points higher than their offering price May 26. So I guess this type of strategy doesn't work for everyone.

I think they need to in order to keep up with Schwab, E*Trade, Waterhouse, Ameritrade and Datek. If they fall behind, they're dust.

Tough question, since there are now over 100 online brokers. I'd say wherever they can buy accounts cheaper than they can acquire them on their own.

According to the CEO, they're planning to acquire another online broker by the end of the year. Smart move? Any guesses as to who it might be?

I think the $3 billion market cap is awfully generous, even compared to its peers (ex. AMTD, EGRP).

This IPO was unusual in that (1) DLJ is itself a brokerage and (2) the offering is a tracking stock. Nearly all offerings have a lead underwriter and several other underwriters (called the syndicate)... I'm not whether this one did - if it didn't it's probably because of the two reasons above.
